Advance Payment & Project Workflow Policy

Upon confirmation of the project and acceptance of the applicable quotation, the Client shall be required to make an advance payment equivalent to twenty-five percent (25%) of the total agreed project fee before any substantial project-related work is formally commenced by ZORAN AGENCY. The receipt of such advance payment shall be treated as the Client’s formal confirmation of the project and as authorization for ZORAN AGENCY to allocate the necessary professional time, technical resources, creative resources, development capacity, project scheduling, planning, communication, research, design preparation and other internal resources required for the execution of the agreed project. Once the advance payment has been received and the project has entered its commencement stage, ZORAN AGENCY may reserve dedicated working capacity and begin performing activities specifically in connection with the Client’s project, including preparatory and behind-the-scenes work that may not always be immediately visible to the Client. Accordingly, the said 25% advance payment shall ordinarily be considered non-refundable once project work has officially commenced, as the payment represents not merely a reservation amount but also the Client’s financial commitment towards the initiation and execution of the project. If, after making the advance payment, the Client subsequently decides not to proceed, chooses to discontinue the project, postpones the project indefinitely, declines to take the completed work, becomes unresponsive, or otherwise decides not to continue with the agreed engagement, the advance amount shall generally remain with ZORAN AGENCY and shall not automatically become refundable. This condition exists because project commencement may result in the allocation and consumption of professional time, operational resources, project slots, creative effort, planning, development preparation and other business resources that cannot necessarily be recovered or reassigned once they have been committed to a particular Client project. Payment of the 25% advance therefore constitutes acknowledgement of the Client’s commitment to proceed with the project under the agreed terms, subject always to any mandatory rights or remedies that may apply under applicable law. The remaining project balance shall become payable in accordance with the agreed payment schedule and project terms, and the Client shall remain responsible for completing the agreed payment obligations where the project is continued and delivered. By proceeding with the advance payment, the Client acknowledges that the project may immediately enter ZORAN AGENCY’s active workflow and that cancellation or withdrawal after commencement may result in the advance being retained in accordance with this Payment Policy.
